Landecs Proprietary Software License (LPSL) Version 1.0.2 Last Updated: August 6, 2025 Applicable To: Countify+ This License Agreement ("Agreement") is a legally binding contract between you (the "End User") and Landecs ("Licensor"), governing the use of the proprietary software product known as "Countify+" ("Software"). By downloading, accessing, installing, or using the Software in any manner, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms, you must not use the Software. 1. DEFINITIONS 1.1 "Software" refers to the full product identified as Countify+, including all associated source code, compiled code, scripts, algorithms, designs, visual elements, user interfaces, documents, modules, voice recognition systems, branding assets, icons, and any updates, modifications, or derivatives thereof. 1.2 "Landecs" refers to the owner, developer, and licensor of the Software, holding full intellectual property and exclusive rights. 1.3 "Use" refers to the act of accessing, executing, loading, displaying, or interacting with the Software through any officially released platform, web application, or supported system. 2. GRANT OF LICENSE 2.1 Subject to your full compliance with this Agreement, Landecs grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Software solely for personal, non-commercial, and educational purposes. 2.2 This License does not convey any ownership rights in the Software or any intellectual property rights therein. All such rights are retained by Landecs. 2.3 Any use of the Software that violates the restrictions or exceeds the scope of this License shall constitute an unauthorized use and breach of this Agreement. 3. RESTRICTIONS AND PROHIBITED CONDUCT The following activities are strictly prohibited without express written consent from Landecs: 3.1 Copying, modifying, altering, adapting, translating, reverse engineering, decompiling, disassembling, or attempting to extract the source code or underlying structure of the Software. 3.2 Selling, licensing, renting, leasing, sublicensing, or distributing the Software or any part thereof, whether for profit or otherwise. 3.3 Creating derivative works, forks, or imitation projects based on any part of the Software or its logic, design, or branding. 3.4 Using the Software for institutional, organizational, governmental, or commercial purposes without obtaining a separate written agreement from Landecs. 3.5 Replicating or reconstructing the user interface, behavior, animations, architecture, or design patterns of the Software in another product or service. 3.6 Using Landecs trademarks, logos, icons, visual identities, or names in any way that could mislead, confuse, or imply affiliation without prior written authorization. 3.7 Hosting, mirroring, embedding, framing, scraping, or redistributing the Software on external websites or platforms without the prior written approval of Landecs. 4. INTELLECTUAL PROPERTY RIGHTS 4.1 All intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, and design rights in and to the Software, are and shall remain the sole and exclusive property of Landecs. 4.2 You agree not to remove, obscure, alter, or interfere with any legal notices, trademarks, logos, or branding elements embedded in the Software. 5. DISCLAIMER OF WARRANTIES 5.1 The Software is provided "as is" and "as available", without any warranties or representations, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, performance, accuracy, or non-infringement. 5.2 Landecs does not warrant that the Software will meet your requirements, function without interruption, be secure, error-free, or that defects will be corrected. 6. LIMITATION OF LIABILITY 6.1 Under no circumstances shall Landecs be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or in connection with the use, inability to use, or performance of the Software, even if Landecs has been advised of the possibility of such damages. 6.2 Your sole and exclusive remedy for dissatisfaction with the Software is to discontinue its use. 7. TERMINATION 7.1 This Agreement is effective until terminated. Your rights under this License will terminate automatically and without notice if you fail to comply with any term of this Agreement. 7.2 Upon termination, you must immediately cease all use of the Software and permanently delete any downloaded, cached, or stored copies. 8. GOVERNING LAW AND JURISDICTION 8.1 This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles. 8.2 You agree that any disputes, claims, or legal actions arising out of or relating to this License shall be exclusively subject to the jurisdiction of the courts located in the Philippines. 9.
